(we/us/our) provides certain services to you through its website located at www.medsec.com (the “Site”) and related technologies, including any updates or new features, functionality, and information (collectively, with the Site, the “Service”), subject to the following terms of service (as amended from time to time, these “Terms of Service”). The Site provides information regarding our company and the various services we provide through the Site.
Acceptance of the Terms of Service
By accessing, browsing, or otherwise using the Site or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.

Use of Service
The Service provides an AI-powered platform with big data and multi-dimensional analytics for finding and ranking medical experts, facilities, and systems in different specialties and geographic areas, and for access and use of the Concierge Services as described see below. This data does not reflect the opinion of MedSec Inc. as it has been gathered and ranked based on independent sources/ third parties, and objective measurements and MedSec Inc. has not received any payments relating to any and all rankings provided by the Service.
Finding Healthcare Experts
Through the Service, MedSec Inc. provides real-time and accurate information about millions of healthcare providers and clinics where experts are rated based on their experience, expertise, research, education, and reviews. MedSec Inc. will display what we have determined to be the best options for your own needs in any geographic location, worldwide, based on our analysis of data concerning specialty, disease, and treatment.
Concierge Service
You can communicate with representatives from MedSec Inc. via the chat function provided by the Service, by telephone at +1 (647)818-4193, or by e-mail at info@medsec.ca to receive help searching for and identifying appropriate health care providers in your treatment area. We can help recommend the right care based on the symptoms or health care needs you describe.
Medical Disclaimer
MedSec Inc. is not authorized to provide services requiring professional licensure, does not offer any medical treatment or perform any clinical health services, and does not provide any medical advice. When an individual uses the Service, no health care provider/ patient relationship is created between MedSec Inc. and an individual.
If you think you or someone using the Service may have a medical emergency, call a doctor or your local emergency number immediately.
The Service is not intended or implied to be a substitute for professional medical diagnosis or treatment. Health-related information, data, software, photographs, graphics, videos, text, images, typefaces, sounds, and other material included in the Service Content or otherwise available on or via the Service describes general principles of health care that should not be construed as specific instructions for individual patients. It is for reference only and should not be used to determine treatment for specific medical conditions—only a health care provider can do that. You understand and agree that in no event will MedSec Inc. be liable for any decision made or action was taken in reliance on such general information contained thereon, and reliance thereon is solely at your own risk.
MEDSEC INC. IS NEITHER RESPONSIBLE NOR LIABLE FOR ANY ACTION OR INACTION BY ANY HEALTH CARE PROVIDER IDENTIFIED OR RECOMMENDED VIA THE SERVICE, OR ANY MEDICAL OR HEALTH PROCEDURE, ADVICE, SERVICES, ANALYSIS, OR INFORMATION THAT IS IDENTIFIED, RECOMMENDED, SCHEDULED, OR ACCESSED THROUGH THE SERVICE.
Health Care Providers
By using the Service, you acknowledge and agree that you are solely responsible for your use of the Service and, as between you and MedSec Inc., the communication you have with, and any care or services you may receive from, any health care provider, and any payment you may owe to any health care provider. You should exercise caution and perform your own independent assessment of healthcare providers before receiving care from any healthcare provider. Your use of the information obtained through this Service is solely at your own risk and you agree that MedSec Inc. and its licensors are not responsible or liable for any claim, loss, or damage arising from your use of such information.
You understand and agree that MedSec Inc:
- Does not direct, employ, or endorse any health care provider and has no control over the acts or omissions of any health care provider;
- Makes no representations, warranties, or guarantees about the suitability, safety, quality, or legality of the services provided by any healthcare provider, the qualifications, identity, or background of any healthcare provider, or about your interactions or dealings with any health care provider;
- Does not screen or conduct any kind of identity or background checks of any health care provider;
- Is not responsible or liable in any manner for the performance or conduct of any health care provider;
- Is not responsible for payment for services given by any health care provider.
Registration
You will be required to register with MedSec Inc. on the Site to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by the Service’s registration form. Such registration data and certain other information about you are governed by our Privacy Policy. MedSec Inc. is not liable for any loss or damage arising from your failure to comply with these obligations.
If you are under 18 years of age, you are not authorized to use the Service with or without registering.
Security
MedSec Inc. protects your privacy related to the Site and maintains appropriate administrative and technical controls to safeguard the security and privacy of your personal information. You are responsible for taking all the steps to ensure no authorized person has access to your account or password, to the extent applicable.
When creating your account, you must provide accurate and complete information. You are expected to use “strong” passwords (passwords that use a combination of upper and lowercase letters, numbers, and symbols) with your account. It is your sole responsibility to a) maintain the confidentiality of your password and account, if any, and are fully responsible for all activities that occur under your password or account, even if due to misuse or any unauthorized access, and b) notify us of any need to deactivate an account or password. You agree to immediately notify MedSec Inc. of any unauthorized use of your password or account or any other breach of security or confidentiality. You are solely responsible for any damage resulting from the use of your account or username. MedSec Inc. will not be liable for any loss or damage arising from your failure to comply with security.
You may deactivate your account at any time by sending an email with the request in the subject line to info@medsec.ca this action may delete your data and information stored on the Service or shared via the Service, and we will have no responsibility for such loss of data or information. If you delete your account, we may still retain any information or data as permitted under these Terms of Service and subject to our rights under the Privacy Policy, as may be necessary or advisable in order to comply with any applicable law, rule, statute, order, or regulation. All fees that may have been incurred prior to de-registration will be due and owing until paid in full, such account deletion notwithstanding.
Changes to Service
MedSec Inc. reserves the right to suspend, limit, modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that MedSec Inc. will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
Use and Storage
You acknowledge that MedSec Inc. may establish general practices and limits concerning the use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service and the maximum storage space that will be allotted on MedSec Inc.’s servers on your behalf. To the extent MedSec Inc. is storing or processing information or data that is defined as “Personal Information”, MedSec Inc. will be aligned with the applicable privacy and security requirements set forth under the General Data Protection Regulation and as further discussed in the Privacy Policy. You acknowledge that MedSec Inc. reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that MedSec Inc. reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice. You further acknowledge that in the event MedSec Inc. terminates an inactive account, MedSec Inc. may delete any data, including Personal Information, and once the account is deemed to be inactive, we will bear no responsibility for such loss of data or information; provided that we may retain any information or data as permitted under these Terms of Service and subject to our rights under the Privacy Policy or as may be necessary or advisable in order to comply with any law.
Permitted Use of Site and Restrictions
You will access and use the Site for lawful purposes only and are solely responsible for all images, information, data, text, software, photographs, graphics, messages, or other materials that you upload, share, input, post, publish, email, or display via the Service (“User Content”). You will not post, publish, reproduce, transmit, distribute, or otherwise view, use or exploit the Site and or any content in a manner that could damage, disable, overburden or impair the Site or interfere with any other party’s use of the site. You agree to comply with all applicable laws and regulations. You agree not to further or promote any criminal activity or enterprise. MedSec Inc. reserves the right to investigate and take appropriate legal action against anyone who, in MedSec Inc.’s sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending, or terminating the account of such violators, and reporting you to the law enforcement authorities.
If you are blocked by MedSec Inc. from accessing the Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address or virtual private network (VPN)).
You will not share any User Content that:
- Infringes or uses any of our brands, logos, trademarks, intellectual property, copyright, or other proprietary rights of any party, or violates applicable laws, rules, or regulations;
- You do not have a right to upload, transmit under any law or under contractual or fiduciary relationships;
- Contains software viruses, malware, or any other code, files, or programs designed to be malicious or technologically harmful;
- Poses or creates a privacy or security risk to any person;
- Is illegal, offensive, abusive, defamatory, obscene, threatening, or harassing;
- Is discriminatory based on race, gender, religion, nationality, disability, sexual orientation, or age;
- Is false, misleading, or otherwise deceptive;
- In the sole judgment of MedSec Inc., may expose MedSec Inc. or its users to any harm or liability of any type
You agree that you will not interrupt or attempt to interrupt the operation of this Site in any way or disobey or violate any requirements, procedures, policies, or regulations of networks connected to the Service.
You agree that you will not impersonate any person or entity, falsely state or misrepresent your affiliation with a person or entity or misrepresent the origin of any information that you provide to us.
You agree that you will not engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods.
You agree that you will not display, distribute, license, sublicense, perform, publish, reproduce, duplicate, copy, create derivative works from, alter, sell, resell, exploit, transfer or share for your own personal or commercial purposes, any portion of the Service, use of the Service, or access to the Service. The Service is solely for your personal, non-commercial use.
Software and Technology
The technology and software underlying the Service, including any proprietary technology or algorithms embodied in MedSec Inc.’s software or distributed in connection therewith (the “Software”), are the property of MedSec Inc. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by MedSec Inc.
Intellectual Property Rights
You acknowledge and agree that the Service or Site may contain or feature Service Content or information, including articles and other content that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. The Service Content is protected by Canadian and US intellectual property laws.
Unauthorized use of the Service Content may result in violation of copyright, trademark, and other laws. You may not sell, transfer, assign, license, sublicense, or modify the Service Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Service Content in any way for any public or commercial purpose.
MedSec Inc. name and logos are trademarks and service marks of MedSec Inc. (the “MedSec Inc. Trademarks”). Other MedSec Inc., product, and service names and logos which may be used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to MedSec Inc. Nothing in these Terms of Service or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of MedSec Inc. Trademarks displayed on the Service, without our prior written permission in each instance.
User Content Standards
You represent and warrant that you own all right, title, and interest in and to such User Content, including, without limitation, all copyrights and rights of publicity contained therein. You hereby grant MedSec Inc. a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sub-licensable (directly and indirectly through multiple tiers), perpetual, irrevocable license to copy, display, share, perform, distribute, store, modify, and otherwise use your User Content, and any statistical and usage data relating to your use of the Service derived by MedSec Inc. or its third-party service providers, in connection with the Service, including the promotion thereof, and for our other business purposes. You represent and warrant that any authorized use of your User Content by MedSec Inc. does and will not violate, misappropriate or infringe on the rights of any third party, including, without limitation, privacy rights, publicity rights, and intellectual property rights. You hereby authorize MedSec Inc. and its third-party service providers to derive statistical and usage data relating to your use of the Service (“Usage Data”). We may use Usage Data for any purpose at any time in accordance with applicable law and our Privacy Policy.
Any questions, comments, suggestions, ideas, feedback, or other information about the Service (“Submissions”), provided by you to MedSec Inc. are non-confidential and MedSec Inc. will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
You acknowledge and agree that MedSec Inc. may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to.
- Protect the rights, personal safety, or property of MedSec Inc. its users, and the public;
- Comply with applicable laws, legal processes, or government/ regulatory requests;
- Enforce these Terms of Service;
- Respond to claims that any content violates the rights of third parties
You understand that the processing and transmission of the Service, including your User Content, may involve changes to adapt to the technical requirements of connecting networks and, transmissions over various networks.
Paid Subscription Services Terms
MedSec Inc. offers both businesses and individuals the opportunity to purchase subscriptions for our paid Services. If you purchase a subscription for a Paid Service, either for yourself or for someone else, you agree that the subscription fees and applicable taxes are payable in advance. Subscriptions are automatically renewed at the end of their subscription term, and you will be charged for the renewal subscription term using the payment method we have on record for you unless you cancel your auto-renewal prior to the renewal date. We will notify you by email prior to your subscription renewal that will provide instructions to follow and allow you to have time to cancel your auto-renewal, which you may do at any time by contacting us at info@medsec.ca
When you cancel a paid subscription, the cancellation is effective at the end of the current subscription term and the paid Service will remain available for use until that time. MedSec Inc. does not provide refunds or credits for subscriptions purchased, except where required by law. We reserve the right to adjust pricing for our paid Service at any time as we may determine in our sole discretion. Any pricing change will apply to your next subscription renewal term. Before charging you for a renewal subscription term, we will notify you of the applicable fees by email sent to the email address provided in connection with the initial subscription. If you do not wish to renew your subscription, you may cancel the auto-renewal as described above. If you do not cancel your auto-renewal, you will be deemed to have agreed to the renewal of your subscription including the applicable charges.
By providing a payment method for your subscription, you represent that you are authorized to use that payment method for the associated purchase, and you authorize MedSec Inc. to charge your payment method for the total amount of your purchase, including applicable taxes. You must maintain accurate and up-to-date payment information with the third-party payment service you used to purchase your subscription (e.g., Apple Pay or Google Pay) to continue to access the Service during a renewal term. If your designated payment method cannot be verified, is invalid, or is otherwise unacceptable, you are solely responsible for resolving the payment issue and may not use the Service until it is resolved. You can update your payment method and inform us at info@medsec.ca and by doing so, you authorize us to charge that payment method for future renewal terms.
Third-Party Services and Links to Other Websites
The Site or Service may provide links or other access to services, sites, technology, and resources that are provided by third parties (“Third-Party Services”). These Terms of Service govern only this Site and not any Third-Party Services. MedSec Inc. does not control these Third-Party Services and expressly disclaims any responsibility for the content, products, or services available on any Third-Party Services, including for the accuracy, legality, availability, reliability, or completeness of results of, or information shared by or available through Third-Party Services, and such information is subject to change without notice, or on the privacy practices of Third-Party Services.
Your access and use of the Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third party, and you may be required to authenticate to or create separate accounts to use Third-Party Services on the websites or via the technology platforms of their respective providers.
The Third-Party Services may have different privacy policies and security standards than our Site. We are not responsible for any terms shown on our Site that differ from those shown on Third-Party Services. You, and not MedSec Inc., will be responsible for any and all costs and charges associated with your use of any Third-Party Services. MedSec Inc. enables these Third-Party Services merely as a convenience and the integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation. Any dealings you have with third parties while using the Service are between you and the third party. MedSec Inc. will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any Third-Party Services. If you decide to access linked Third-Party Services, you do so at your own risk.
Indemnification
You agree to release, indemnify, and hold MedSec Inc., and its respective employees, officers, directors, contractors, service providers, licensors, and agents harmless from all claims, liabilities, damages, losses, costs, expenses, rights, actions of any kind and injury (including death) that arise from your violation of these Terms of Service or your violation of any rights of another, and from your access and use of our Site or relating to your use of and your connection to the Service.
Warranty Disclaimer
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT THIS SITE AND SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
MEDSEC INC. MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT ANY INFORMATION PROVIDED OR REQUESTED THROUGH THE SERVICE IS ACCURATE, COMPLETE, TIMELY, RELIABLE, OR CURRENT, OR THAT THE SITE OR ITS SERVER ARE OR WILL BE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL ELEMENTS. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK OF THE QUALITY AND PERFORMANCE OF THIS SITE IS ASSUMED BY YOU.
MEDSEC INC. EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, REPRESENTATIONS, ENDORSEMENTS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, MEDSEC INC. EXPRESSLY DISCLAIMS, AND YOU HEREBY EXPRESSLY RELEASE MEDSEC INC. FROM, ANY AND ALL LIABILITY WHATSOEVER FOR ANY CONTROVERSIES, CLAIMS, SUITS, INJURIES, LOSS, HARM, AND/OR DAMAGES ARISING FROM AND/OR IN ANY WAY RELATED TO YOUR INTERACTIONS OR COMMUNICATIONS OR DEALINGS WITH ANY PROVIDER, INCLUDING WITHOUT LIMITATION ANY CARE OR SERVICES PROVIDED BY ANY PROVIDER, ANY ACTS AND/OR OMISSIONS OF PROVIDERS, OR PAYMENT DISPUTES.
IF YOU ARE DISSATISFIED WITH THE SERVICE, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY IS TO TERMINATE YOUR MEDSEC INC. ACCOUNT.
Limitation of Liability
IN NO EVENT AND TO THE FULLEST EXTENT PERMITTED BY LAW SHALL MEDSEC INC. BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF MEDSEC INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL THEORY. UNDER NO CIRCUMSTANCES WILL MEDSEC INC. BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON INFORMATION OBTAINED THROUGH THE SITE AND SERVICE. IT IS YOUR RESPONSIBILITY TO EVALUATE THE CORRECTNESS, COMPLETENESS, AND USEFULNESS OF THIS SITE.
Governing Law
These Terms of Service constitute the entire agreement between you and MedSec Inc. and govern all matters relating to your access to or your use of the Service and Site, superseding any prior agreements between you and MedSec Inc. with respect to the Service and Site. You may also be subject to additional terms and conditions that may apply when you use Third-Party Services, third-party content, or third-party software. These Terms of Service will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein without giving effect to conflict of law principles. With respect to any disputes or claims not subject to arbitration, as set forth below, you and MedSec Inc. agree to submit to the personal and exclusive jurisdiction of the provincial and federal courts located within Ontario. The failure of MedSec Inc. to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any law to the contrary, any claim or cause of action arising out of or related to the use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Dispute Resolution
MedSec Inc. is committed to the resolution of disputes through good faith negotiation, mediation, and arbitration. In the event of any dispute over the use of this site or relating to any product or services provided through this site, you agree that (i) you will first attempt, in good faith, to resolve such dispute through direct negotiation for at least thirty (30) days following you providing notice of the dispute to MedSec Inc. by e-mail at info@medsec.ca; and (ii) in the event a dispute cannot be resolved during that time period, each party will submit the dispute to mediation by a mutually agreeable mediator in Toronto, Ontario, Canada. In the event of mediation, each party shall bear its own costs of such mediation, including its own legal fees and its equal share of mediator fees. All disputes arising out of or in connection with these Terms of Service or the Service, or in respect of any legal relationship associated with or derived from these Terms of Service, except for disputes relating to MedSec Inc.’s intellectual property (such as trademarks, patents, copyrights, domain names, and trade secrets), which cannot be resolved through negotiation or mediation shall be resolved through final and binding arbitration pursuant to the Arbitration Act (Ontario). The place of arbitration shall be Toronto, Ontario, Canada. The language of the arbitration shall be English. In the event you wish to commence an arbitration, you agree that you will notify MedSec Inc. of the Notice to Request to Arbitrate and send to MedSec Inc. Corporation, 100 King St. W., Suite 5600, Toronto, Ontario, M5X 1C9, ATTENTION: Legal Department and will include your name, address, description of the dispute, and what result you hope to obtain by starting the arbitration.
MedSec Inc.’s failure to insist upon or enforce strict performance of any provision of these Terms of Service shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these Terms of Service.
You agree that, by entering into these Terms of Service, you and MedSec Inc. are each waiving the right to litigate a dispute in court before a judge or jury or to participate in a class action, or seek relief on a class basis.
Arbitration Costs
In accordance with the Arbitration Act (Ontario), 1991, the arbitrator determines who (you or MedSec Inc.) is responsible for payment of filing, administration and arbitrator fees, any case management fees, and all professional fees for the arbitrator’s services, for the filing.
Dispute Confidentiality
All aspects of any mediation or arbitration proceedings, including any ruling, award, or decision by the mediator or arbitrator, are confidential. They are only made public with the consent of all parties to the dispute.
Termination

Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of Service may be referred to appropriate law enforcement authorities. MedSec Inc. may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that, except as may be explicitly set forth herein, any termination of your access to the Service under any provision of these Terms of Service may be implemented without prior notice, and acknowledge and agree that MedSec Inc. may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that MED SEC INC. will not be liable to you or any third party for any termination of your access to the Service.
General
The section headings and the order in which they appear in these Terms of Service are provided only for reference and have no legal or contractual effect.
If any portion of these Terms of Service is held to be unenforceable or invalid, then such portion shall be construed in accordance with the applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of these Terms of Service or any portion shall remain in full force and effect. The sections of these Terms of Service with the titles of Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Governing Law, and General shall survive the termination of these Terms of Service.
You may not assign, transfer, or delegate your account or your obligations under these Terms of Service. MedSec Inc. has the right, in our sole discretion, to transfer or assign any or all part of its rights under these Terms of Service and will have the right to delegate or use third parties to fulfill its duties and obligations under these Terms of Service and in connection with the Service.
